Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Comatch platform, including our website, mobile application, and related services (collectively, the “Services”). The Services are provided “as is” to facilitate connections between potential co-founders for genuine collaboration and business partnership. By using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Acceptance of Terms

By creating an account or using the Services, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. This age requirement ensures users are legally allowed to conduct business across many countries and territories. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities conducted under your account, whether authorized or not.
• Providing accurate, current, and complete information during account creation and updates.
• Creating only one authentic account; multiple accounts are prohibited.
• Not sharing your account with others or allowing unauthorized access.

You must notify us immediately of any unauthorized use or security breach at support@comatch.me. We reserve the right to verify the information you provide and may suspend accounts if verification fails or inaccuracies are found.

3. User Conduct

You agree to use the Services in compliance with our Community Guidelines and applicable laws, solely for genuine co-founder matching and collaboration purposes. You must interact with other users professionally and respectfully and protect your own and others’ personal and confidential information. Prohibited actions include:

• Posting or sharing content that is unlawful, harmful, defamatory, obscene, or violates others’ rights.
• Engaging in harassment, discrimination, or abusive behavior toward other users.
• Using the Services to distribute spam, malware, or engage in phishing, fraudulent, or deceptive activities.
• Attempting to access, disrupt, or interfere with the Services’ infrastructure or other users’ accounts.
• Using automated tools (e.g., bots, scrapers) to access or collect data without permission.
• Collecting or harvesting personal information of other users without consent.
• Sharing false or misleading information or attempting to scam or mislead other users.

4. Content Ownership and Licenses

You retain ownership of content you post, such as profiles, ideas, messages, and files (“User Content”). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, and modify it as necessary to provide the Services. This license ends when you delete your content or account, except for content shared with other users (e.g., messages, team ideas).

You represent that you have the rights to share User Content and that it does not infringe on others’ intellectual property or privacy rights.

5. Intellectual Property

The Services, including all software, designs, logos, and content created by us (“Comatch Content”), are owned by ZDTech LLC or our licensors and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of Comatch Content without our prior written consent.

6. Termination

We may suspend or terminate your account or access to the Services at our discretion, including for violations of these Terms or Community Guidelines, with or without notice. You may terminate your account at any time by contacting us or using account settings. Upon termination, your right to use the Services ceases, but these Terms’ provisions on intellectual property, liability, and dispute resolution survive.

7. Disclaimers and Limitation of Liability

The Services are provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. We do not guarantee the accuracy, reliability, or availability of the Services or User Content.

To the fullest extent permitted by law, ZDTech LLC, its affiliates, and their respective officers, directors, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Services, even if advised of the possibility of such damages.

8. Indemnification

You agree to indemnify and hold harmless ZDTech LLC and its affiliates from any claims, losses, damages, or expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

9. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Services will be resolved through binding arbitration in Delaware, conducted by a single arbitrator under the rules of the American Arbitration Association. You waive the right to participate in class actions or collective arbitration.

10. Changes to These Terms

We may update these Terms to reflect changes in our Services or legal requirements. We will notify you of significant changes through the Services or by email. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
